Terms of Service

These Terms govern your use of BasisTrail. Please read them — they include important limits on liability and a disclaimer that BasisTrail is an information tool, not financial advice. By using BasisTrail you agree to them.
1. Who provides BasisTrail
BasisTrail is provided by its founder operating as an independent sole proprietor (“BasisTrail”, “we”, “us”). By creating an account or using the app or website (the “Service”), you (“you”) agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 and able to form a binding contract. You are responsible for everything that happens under your account and for keeping your sign-in secure.
3. What the Service is — and isn't
- BasisTrail is a read-only portfolio tracker that reconciles data you connect (Interactive Brokers via a Flex token you generate, and public Base wallet addresses) and presents AI-generated explanations of that data.
- BasisTrail cannot place trades, move funds, sign transactions, or access your brokerage password, private keys, or seed phrase.
- BasisTrail is not a broker-dealer, investment adviser, exchange, custodian, tax preparer, or accountant, and is not regulated as any of these.
4. Accuracy and your responsibility
Data comes from third parties (your brokerage, public blockchains, and price sources) and may be delayed, incomplete, or wrong. AI output can be inaccurate or incomplete. You are solely responsible for verifying any figure before relying on it, including for tax or financial decisions. The Service is a convenience, not a system of record; your brokerage and on-chain data are the authoritative sources.
5. Acceptable use
You agree not to: misuse or attempt to break the Service; access it through unauthorized means; reverse engineer or scrape it beyond normal use; resell it; connect data you don't have the right to connect; or use it to violate any law or third-party right. We may suspend or terminate accounts that abuse the Service, fair-use limits, or our processors' rules.
6. Plans, billing, and refunds
- Paid plans are billed through Whop, our payment processor and hosted checkout provider. By subscribing you also agree to Whop's terms.
- Subscriptions renew automatically until cancelled. You can cancel any time; access continues until the end of the paid period, after which your account reverts to Free.
- Founder Lifetime is a one-time purchase granting Pro features for the operational lifetime of the Service; it is not a perpetual guarantee that the Service will run forever (see Section 9). “Lifetime” means the lifetime of the product, not the buyer.
- AI features are subject to a monthly credit allowance and fair-use limits, which we may adjust to keep the Service sustainable. We will not retroactively reduce a billing period you've already paid for in bad faith.
- Except where required by law, payments are non-refundable. Refund requests are handled case-by-case at our discretion via Whop.
- We may change prices for future billing periods with reasonable notice; your current period is unaffected.
7. Your content and data
You retain all rights to your data. You grant us a limited licence to process it solely to provide the Service, as described in the Privacy Policy. You represent that you have the right to connect the accounts and addresses you add.
8. Third-party services
The Service depends on third parties (Interactive Brokers, blockchain networks, price feeds, our AI provider, Supabase, Whop, Apple). We don't control them and aren't responsible for their availability, accuracy, changes, or actions. Your use of those services is governed by their own terms.
9. Availability and changes
The Service is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue any part of it at any time. We will make reasonable efforts to give notice of a permanent shutdown, but do not guarantee uninterrupted or error-free operation.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any figure or AI output is accurate or complete.
11. Limitation of liability
To the maximum extent permitted by law, BasisTrail and its founder will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, investment losses, trading losses, data loss, or loss of goodwill, arising from or related to your use of (or inability to use) the Service — even if advised of the possibility. Our total aggregate liability for any claim is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 50. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless BasisTrail and its founder from any claims, damages, liabilities, and reasonable legal costs arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if required for legal, security, or operational reasons. Sections that by their nature should survive termination (disclaimers, liability limits, indemnification) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the founder's place of residence, without regard to conflict-of-laws rules. You agree that any dispute will be resolved on an individual basis in the competent courts of that jurisdiction, and you waive participation in any class or representative action, to the extent permitted by law. Nothing here removes mandatory consumer-protection rights you may have where you live.
15. Changes to these Terms
We may update these Terms as the product evolves. Material changes will be posted here with a new date; continued use after changes means you accept them.
